Earn & Empower: For every collectible sold, you earn 25% of Net Revenue as royalties, and AthleteGEM™ matches 25% to your university in your name. Net Revenue is calculated as Gross Revenue minus allowable deductions for Production Costs, Marketing Expenses, and Product Returns. Q: Are there tiered royalty rates? A: Yes! As sales grow, your royalty rate increases based on cumulative Net Revenue thresholds: Base Tier (0 - $199,999): 25% Growth Tier ($200,000 - $499,999): 30% Expansion Tier ($500,000 - $999,999): 35% Premium Tier ($1,000,000+): 40% Q: How does the university matching contribution work? Q: Does this program comply with NCAA and state NIL laws? A: Yes, all activities conducted under this Agreement comply with applicable NCAA regulations, professional sports league rules, and state NIL laws. If regulatory changes occur, we will renegotiate relevant terms to ensure continued compliance. Q: Is this agreement exclusive? A: No, this Agreement is non-exclusive. You are free to enter into similar agreements with other companies, provided they do not conflict with or materially interfere with this Agreement. Q: What happens if I want to terminate the agreement? A: Either party may terminate the Agreement upon sixty (60) days’ written notice. Upon termination, all rights granted to AthleteGEM™ revert to you, and AthleteGEM™ will cease using your NIL. AthleteGEM™ will also fulfill all outstanding obligations to make matching contributions to your university for sales completed prior to termination.

Q: What happens if there’s a dispute? A: We encourage resolving disputes through good-faith negotiations. If unresolved, disputes will proceed to mediation before resorting to litigation. Mediation costs will be split equally unless otherwise agreed. Q: Which state’s laws govern this Agreement? A: This Agreement is governed by and construed in accordance with the laws of the State of Arkansas.

Q: Can I assign my rights under this Agreement to someone else? A: No, neither party may assign or transfer any rights or obligations under this Agreement without the prior written consent of the other party. Q: What happens if part of the Agreement becomes invalid? A: If any provision of this Agreement is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.
